The terms for using the platform, including Coralia's disclaimer and limitation of liability.

1. Acceptance

These terms govern the use of the Coralia Carbon Footprint Platform, provided by [Company name], tax ID [CUIT], registered at [legal address], Argentina ("Coralia").

By creating an account or using the platform, the user accepts these terms and the Privacy policy. Anyone accepting on behalf of a company represents that they are authorized to bind it. If a signed contract between Coralia and the company says otherwise, that contract prevails.

2. What the platform is

The platform is a support tool to calculate and manage carbon footprints. It is not a certification body and does not replace professional judgment.

A report prepared "with reference" to a standard (ISO 14067, GHG Protocol, PEF, EcoBeautyScore or other) does not mean the report complies with that standard or is certified under it. Conformity is determined, in each case, by the relevant verification or certification body.

3. Accounts and user responsibilities

  • Accurate data. Results depend on the data uploaded. The company is responsible for its completeness, accuracy and currency, and for having the right to use it.
  • Access. Each person uses their own account, protects their password and tells Coralia if they suspect unauthorized access.
  • Company users. The admin decides whom to invite and with what role, and removes access for anyone who stops working with the company.
  • Reviewing results. Before publishing, presenting or using a result in an audit, the company reviews and validates it with its own professionals.

4. Disclaimer

Coralia does not guarantee that using the platform will lead to passing an audit, obtaining a certification or complying with a standard or regulation, and is not liable for those outcomes.

  • Audits and certifications. The outcome of an audit, verification or certification depends on the body performing it and on the information the company submits. If an audit is unfavorable, delayed or requires changes, Coralia is not responsible for that outcome or its consequences.
  • Estimated results. A carbon footprint is an estimate: it is calculated from the company's data, emission factors from public or third-party databases and methodological assumptions, and carries uncertainty.
  • Artificial intelligence. AI features can make mistakes. Their results are proposals the company must review before using them.
  • Coralia review. When a Coralia consultant reviews or "certifies" an emission factor or a report, it is a technical review by Coralia, not a certification by an accredited body. [Scope to be confirmed.]
  • External auditors. Auditors hired through the platform are independent from Coralia, which is not liable for their opinions, timelines or decisions.
  • Public claims. Environmental claims the company makes based on the results are solely the company's responsibility.
  • Not legal advice. The platform does not provide legal, accounting or regulatory advice.

5. Limitation of liability

To the extent permitted by law, Coralia's total liability to a company is limited to what that company paid for the platform in the [12] months before the event giving rise to the claim.

  • Coralia is not liable for indirect damages, such as lost profits, lost business, fines, penalties or reputational harm, including those arising from an unfavorable audit or certification.
  • Coralia is not liable for failures of third-party providers or for interruptions beyond its reasonable control.
  • These limitations do not apply in case of Coralia's willful misconduct or gross negligence, or where the law does not allow them.

6. Ownership of data and of the platform

  • Company data. The company keeps ownership of its data and reports, and authorizes Coralia to use them only to provide the service.
  • Aggregated data. [To be confirmed] Coralia may use aggregated, anonymous data to improve the platform and produce sector statistics.
  • The platform. The software, design, trademarks, methodologies and proprietary factor databases belong to Coralia or its licensors.
  • Third-party databases. Some emission factors come from databases with their own licenses: they may be used within the platform and in reports, but not extracted or redistributed.

7. Plans, payments and cancellation

  • Plans and prices. Shown in the platform or in the commercial proposal. Payments are processed through Mercado Pago.
  • Price changes. Announced at least [30] days in advance and applied from the next period.
  • Non-payment. Coralia may limit access to paid features after notifying the company. [Terms to be confirmed.]
  • Cancellation. The company can cancel at any time and request a copy of its data first.
  • Suspension for misuse. Coralia may suspend an account that breaches these terms, stating the reason, except in a security emergency.

8. Acceptable use

It is not allowed to:

  • Try to access other companies' data or parts of the platform without authorization.
  • Test or attack the platform's security without Coralia's written authorization.
  • Upload false information to obtain misleading reports, or back environmental claims known to be untrue.
  • Upload content without the right to use it, malicious software or sensitive personal data.
  • Copy, resell or redistribute the platform or its emission factor databases.
  • Extract data with automated programs, except through the official API with a valid key.

9. Availability and changes

  • Availability. Coralia makes reasonable efforts to keep the platform available but does not guarantee it will work without interruptions or errors.
  • Service changes. If a change removes an essential feature of the contracted plan, it is announced at least [30] days in advance.
  • Changes to these terms. Admins are notified by email at least [15] days in advance. Continuing to use the platform after that date means accepting the new version.

10. Governing law and contact

These terms are governed by the laws of the Argentine Republic. Any dispute is submitted to the [ordinary courts of the City of Buenos Aires]. If any part of these terms is held invalid, the rest remains in force.
